1. Scope of Application

These General Terms and Conditions (GTC) apply to all contracts, services, and offers provided by EastWest Fulfillment (hereinafter referred to as the "Provider"). They apply to both business customers (B2B) and, by individual agreement, private customers (B2C). Any conflicting GTC of the customer shall not be recognized unless the Provider expressly agrees to them in writing.

2. Scope of Services

The Provider offers comprehensive fulfillment services, including:

• Warehousing

• Order picking and packaging

• Shipping processing (national & international)

• Returns management

• Incoming goods inspection and inventory management

• Individual additional services (e.g., branding, special packaging)

Food, hazardous goods (e.g., gases, flammable substances), and other prohibited items will not be stored or shipped.

3. Contract Conclusion

A contract is concluded upon acceptance of an offer or by order confirmation from the Provider. For new customers, an initial inventory and stocktaking will be carried out before services begin. A written contract can be provided upon request.

4. Prices and Payment Terms

Invoicing is done monthly based on the services actually used. Prices are determined by the currently valid offer or individual agreement. All prices are net plus the applicable statutory value-added tax.

5. Storage and Shipping

Storage is carried out in accordance with standard commercial practices. Shipping is carried out via service providers such as DHL or Hermes (deviations possible according to customer specifications); their shipping and liability conditions apply. Packaging materials are provided by the Provider unless otherwise agreed and are charged separately.

6. Returns Management

Returns are processed according to the agreed terms. The cost of returns is borne either by the end customer or the client, depending on the business model. Returned goods are inspected upon request and either restocked or disposed of.

7. Liability

The Provider's liability is governed by the terms of the commissioned shipping service providers. Any further liability or consequential damages are excluded unless gross negligence or intent is proven. No liability is assumed for incorrect or incomplete product information provided by the client.

8. Contract Duration and Termination

Contracts may either:

• Be terminable monthly (with two weeks' notice to the end of the month), or

• Have a fixed term of 12 months. These can be terminated in writing no later than two weeks before the end of the contract term. If no timely termination is given, the contract will be automatically extended by one month.

9. Data Protection

All personal data of the client and their customers will be treated confidentially in accordance with applicable data protection regulations (GDPR) and processed solely for the purpose of fulfilling the contract.

10. Final Provisions

The law of the Federal Republic of Germany shall apply. The place of jurisdiction for all disputes is the registered office of the Provider, to the extent legally permissible. Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
